0. Abstract

These Terms of Service (“Terms”) govern your access to and use of Nitlix products, services, websites, and applications (“Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Services.

1. Eligibility & Accounts

To use Nitlix Services, you must meet the following conditions:

• Minimum age: You must be at least 12 years old.
• Parental permission (where required): If you are under the age of legal majority in your jurisdiction, you may only use the Services with the consent and supervision of a parent or legal guardian, who is responsible for your use.
• Accurate information: If you create an account, you agree to provide and maintain accurate, current, and complete information.
• Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify Nitlix immediately if you believe your account has been compromised.

Nitlix reserves the right to refuse, suspend, or terminate access to the Services to anyone at any time where we reasonably believe these Terms have been or may be violated.

2. Use of the Services

Subject to these Terms, Nitlix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

You agree that you will:

• Use the Services only as permitted by applicable law and these Terms.
• Respect the intellectual property and other rights of Nitlix and third parties.
• Use the Services in a way that does not harm or interfere with the operation, security, or integrity of the Services or our infrastructure.

3. Acceptable Use

You may not use the Services to:

• Engage in any illegal, fraudulent, or malicious activity.
• Harass, threaten, or harm others, or promote hate, violence, or discrimination.
• Upload, share, or transmit content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to any accounts, systems, or networks.
• Probe, scan, or test the vulnerability of any system or network without explicit written permission from Nitlix.
• Interfere with or disrupt the integrity or performance of the Services, including by overloading or abusing our APIs or infrastructure.
• Reverse engineer, decompile, or attempt to extract source code from the Services, except to the extent that such restrictions are prohibited by law.

Nitlix may suspend or terminate your access to some or all of the Services if we reasonably believe you have violated this Acceptable Use section.

4. Content & Intellectual Property

4.1 Nitlix content

The Services, including all software, code, designs, text, graphics, logos, and other materials provided by Nitlix (“Nitlix Content”) are owned by or licensed to Nitlix and are protected by intellectual property and other laws.

Except as explicitly allowed in these Terms, you may not:

• Copy, modify, distribute, sell, or lease any part of the Services or Nitlix Content.
• Remove or alter any copyright, trademark, or other proprietary notices.

4.2 Your content

You may submit, upload, or create content while using the Services (“Your Content”). You retain any rights you have in Your Content.

By using the Services, you grant Nitlix a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display Your Content solely as necessary to operate, improve, and provide the Services, and as otherwise described in the Nitlix Privacy Policy.

You are responsible for ensuring that:

• You have the rights necessary to submit Your Content; and
• Your Content does not violate these Terms or any applicable law.

5. Data, Privacy & Security

Your use of the Services is also governed by the Nitlix Privacy Policy, which explains how we collect, use, and protect your data, and what rights you have. By using the Services, you acknowledge that you have read and understood the Privacy Policy.

Nitlix implements technical and organisational measures designed to protect your data against unauthorised access, loss, or misuse. However, no system can be guaranteed 100% secure, and you acknowledge that you use the Services at your own risk.

6. Service Changes, Availability & Termination

Nitlix is continuously improving the Services and may:

• Add, modify, or remove features or functionalities.
• Suspend or discontinue parts of the Services where necessary (for example, for maintenance, security, or operational reasons).

We will use reasonable efforts to notify you of significant changes where practical.

You may stop using the Services at any time. We may suspend or terminate your access to the Services if:

• You materially or repeatedly breach these Terms or applicable law.
• We are required to do so by law or court order.
• Continuing to provide the Services is no longer commercially or technically feasible.

Where appropriate and legally permitted, we will attempt to provide you with notice before termination or suspension.

7. Disclaimers

The Services and any content provided through them are offered on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, Nitlix and its affiliates disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Services will be uninterrupted, error-free, secure, or free of harmful components.
• Any warranty regarding the accuracy, reliability, or completeness of any content or information obtained through the Services.

You are responsible for backing up your own data and content and for using the Services in a way that is appropriate for your particular situation.

8. Limitation of Liability

To the fullest extent permitted by law, Nitlix and its affiliates, officers, employees, and partners will not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Any loss of profits, revenue, data, or goodwill.
• Any damages resulting from:
  • Your access to or use of, or inability to access or use, the Services;
  • Any conduct or content of other users or third parties; or
  • Unauthorised access, use, or alteration of your transmissions or content.

Where liability cannot be excluded, Nitlix’s total aggregate liability arising out of or relating to the Services or these Terms will be limited to the greater of:

• The amount you have paid to Nitlix (if any) for access to the Services in the twelve (12) months preceding the event giving rise to the claim; or
• One hundred (100) USD.

9. Third‑Party Services & Links

The Services may integrate with or contain links to third‑party websites, services, or content that are not controlled by Nitlix. Nitlix does not endorse or assume responsibility for third‑party services.

Your use of any third‑party services is solely between you and the third party and may be governed by separate terms and privacy policies.

10. Modifications to These Terms

We may update these Terms from time to time. When we do, we will post the updated version and update the “Last updated” date.

If changes are material, we will take reasonable steps to notify you (for example, through the Services or by email, where appropriate). By continuing to use the Services after the updated Terms become effective, you agree to be bound by the updated Terms.

If you do not agree to the updated Terms, you must stop using the Services.

11. Governing Law & Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Services, will be governed by applicable law, without regard to conflict of law provisions.

Any disputes will be resolved in the courts or through the mechanisms specified by Nitlix from time to time, except where mandatory consumer protection laws grant you additional rights.
